Amiseq, Inc.

This is a legal agreement between you and Amiseq, Inc. (“Amiseq,” “we,” “us,” or “our”) governing your use of amiseq.com and any related Amiseq-branded digital properties, tools, and content (collectively, the “Site”). By accessing or using the Site, you represent that you are of legal age and have the authority to agree to these Terms of Service (“Terms”) on your own behalf or on behalf of the organization you represent.

Amiseq provides technology consulting and delivery services across AI Enterprise, Secure Enterprise, and Digital Enterprise practices (collectively, the “Services”). These Terms govern your use of the Site. They do not replace or override the terms of any signed Master Service Agreement, Statement of Work, or other client contract, which govern the actual delivery of paid Services and control in the event of any conflict with these Terms.

Privacy

Your use of the Site is subject to Amiseq's Privacy Policy, which governs how we collect, use, and protect information and is incorporated into these Terms by reference.

Electronic Communications

Visiting the Site or sending Amiseq an email or form submission constitutes electronic communication. You consent to receive communications from us electronically, and you agree that any agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You may not use the Site in any way that could damage, disable, overburden, or impair the Site, or interfere with any other party's use and enjoyment of it. You may not attempt to gain unauthorized access to any portion of the Site, other accounts, or connected systems.

Amiseq reserves the right, in its sole discretion, to restrict or terminate access to the Site, or to remove or edit content, for any reason and without notice.

Children Under Thirteen

The Site is intended for business professionals and is not directed to children. Amiseq does not knowingly collect personal information from children under the age of 13. If you are under 18, you may use the Site only with the involvement of a parent or guardian.

Links to Third-Party Sites and Services

The Site may contain links to third-party websites (“Linked Sites”). Linked Sites are not under Amiseq's control, and Amiseq is not responsible for the content, accuracy, or privacy practices of any Linked Site. The inclusion of a link does not imply endorsement by Amiseq or any association with the operators of that site.

Where the Site references technology partners or platforms Amiseq works with as part of its Services, such references describe tools used in client delivery and do not constitute an endorsement, partnership designation, or certification beyond what Amiseq holds at the time of publication.

Security Incidents

If we reasonably determine that the security of the Site or our infrastructure may be compromised due to unauthorized access attempts, denial-of-service activity, or other malicious activity, we may temporarily suspend affected systems and take action to resolve the issue. Where appropriate, we will notify affected users of any suspension or action taken for security reasons.

Intellectual Property

All content on the Site, including text, graphics, logos, images, methodology names, and the compilation thereof, is the property of Amiseq or its licensors and is protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own informational purposes.

You may not modify, publish, transmit, reverse engineer, sell, create derivative works from, or otherwise exploit any content on the Site without Amiseq's express written permission. You do not acquire any ownership rights in any Site content through your use of the Site.

Hyperlinking to Our Content

Government agencies, search engines, and news organizations may link to the Site without prior written approval. Online directory distributors may link to the Site in the same manner they link to other listed businesses, provided the link is not misleading and does not falsely imply sponsorship, endorsement, or approval by Amiseq.

We will consider other link requests, including from Chambers of Commerce and similar business organizations, industry associations, accounting, law, and consulting firms, and educational institutions, on a case by case basis. We will approve a request where the link would not reflect unfavorably on Amiseq, the requesting organization has no unsatisfactory history with us, and the link fits within the context of the linking party's site. Amiseq reserves the right to approve or decline any link request in its sole discretion and to request removal of any existing link to the Site at any time.

Approved organizations may link to the Site using Amiseq's corporate name, the relevant URL, or a description of the linked content that fits the context of the linking party's site. Use of any Amiseq logo or other artwork for linking purposes requires a separate trademark license agreement.

If you find a link to the Site, or a link from the Site to another website, objectionable for any reason, you may contact us. We will consider requests to remove links but are under no obligation to do so or to respond directly.

Iframes

You may not create frames around the Site's pages or use any technique that alters the visual presentation or appearance of the Site without Amiseq's prior written permission.

International Users

The Site is controlled and operated by Amiseq from the United States, with additional offices supporting clients globally. If you access the Site from outside the United States, you are responsible for complying with applicable local laws.

Client Engagements

Nothing on the Site constitutes an offer to enter into a services engagement. Any engagement for Amiseq Services is governed exclusively by a separately negotiated and signed Master Service Agreement, Statement of Work, or other written contract between Amiseq and the client, including terms related to scope, fees, cancellation, and delivery.

Indemnification

You agree to indemnify, defend, and hold harmless Amiseq, its officers, directors, employees, and agents from any losses, costs, liabilities, and expenses, including reasonable attorneys' fees, arising out of your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

Arbitration

Any dispute arising out of or relating to these Terms that cannot be resolved informally shall be resolved by final and binding arbitration administered by the American Arbitration Association under its rules then in effect, conducted by a single neutral arbitrator in Santa Clara County, California. Judgment on the arbitration award may be entered in any court of competent jurisdiction. This section survives termination of these Terms.

Class Action Waiver

Any arbitration or proceeding under these Terms will be conducted on an individual basis only. Class, collective, and representative actions or arbitrations are not permitted, and the arbitrator may not consolidate more than one person's claims unless both parties agree otherwise.

Liability Disclaimer

The Site and its content are provided “as is” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law.

To the maximum extent permitted by law, Amiseq shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, use, or profits, arising out of or related to your use of the Site, even if Amiseq has been advised of the possibility of such damages. If you are dissatisfied with the Site or these Terms, your sole remedy is to discontinue using the Site.

Termination and Access Restriction

Amiseq reserves the right, in its sole discretion, to terminate or restrict your access to the Site at any time, without notice. These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles, and you consent to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California, for any disputes not subject to arbitration.

If any provision of these Terms is found invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Amiseq regarding use of the Site.

Changes to These Terms

Amiseq reserves the right to update these Terms at any time. The most current version will supersede all previous versions and will be posted on the Site with an updated effective date. We encourage you to review these Terms periodically.
